CR Annual Confirmation in Saudi Arabia: Deadline and Suspension

You received a message about the annual confirmation of your commercial registration (CR) and put it aside because the shop was running and contracts were continuing. Then you needed a service for the business and found the registration suspended. At this point, three things matter: when was the confirmation due, when did the suspension start, and what is the legal form of the business? The answers decide which route is open before the problem grows.

The short answer: the annual confirmation is due one full year from the registration date, and you may submit it up to 30 days early (Article 10 of the Regulations). If you are 90 days late, your registration is suspended after a 14-day warning, and your licences are suspended with it (Article 15 of the law). You then have one full year to lift the suspension by submitting the confirmation and paying the fee and fine. If that year passes, a sole proprietorship's registration is deleted, while a company loses the right to ask for the suspension to be lifted and may face a demand for its dissolution.

If your company is licensed in one of the special economic zones of Jazan, Cloud Computing, King Abdullah Economic City or Ras Al-Khair, Royal Decree M/140 of 1447H exempts it from the Commercial Register Law, and the rules of those zones apply to it.

What is the CR annual confirmation?

It is a confirmation that the details recorded in the commercial register are correct. Article 11 of the Commercial Register Law requires it, and Article 10 of the Implementing Regulations makes it due one full year after the registration date. It may also be submitted up to 30 days before the due date.

Do not treat the procedure as just paying a fee. Review the name, address, activities, management and contact details, and make sure what you present to the authority reflects the real position of the business. If details change during the year, Article 10 of the law requires you to update them within 15 days of the change, without waiting for the annual date.

Make the due date part of the business's regular follow-up. The owner or management can organise the work by deciding who reviews the details, who follows the notices and who keeps proof that the request was completed. This is a practical arrangement; it does not automatically move the legal responsibility to the employee handling the procedure.

How much is the annual confirmation fee and the late fine?

The fee annex of the Implementing Regulations sets the annual confirmation fee by type of trader: SAR 500 for a sole proprietorship, SAR 1,200 for a limited liability company, SAR 1,600 for a joint stock company, a simplified joint stock company and a branch of a foreign company, and SAR 1,000 for a general partnership and a limited partnership. The schedule of violations in Article 19 of the Regulations sets the fine for failing to submit the confirmation at the same amounts by type of business. The legal maximum fine is SAR 50,000 (Article 21 of the law).

When is a commercial registration suspended?

Article 15 of the law provides for suspension if the trader does not submit the confirmation within 90 days of its due date. Before suspending, the registrar must warn the trader that the registration will be suspended 14 days after the warning, and then notify it of the suspension decision if the period passes without the confirmation.

Do not add the two periods together and assume that every business has a fixed grace period of 104 days from the due date. The 90 days are linked to the due date of the confirmation, and the 14 days are linked to the warning before suspension. Check the dates of the notices in your case instead of relying on a general assumption.

Suspension also suspends the licences issued for the suspended registration. Article 11 of the Regulations excludes some register services, including printing the registration, a detailed extract, lifting the suspension and deletion. So suspension does not necessarily stop you from getting information or starting to fix the problem.

Does suspension mean the end of the business?

The law allows the suspension to be lifted during the year of suspension if the trader asks for it, submits the annual confirmation and pays the fee and the fine. Do not let the period pass on the assumption that the problem can be fixed at any time.

The difference between a sole proprietorship and a company is essential. If the year ends without action, the law provides for deletion of the trader's registration, except for a company or a branch of a foreign company. A company or foreign branch may no longer ask for the suspension to be lifted after that period, and the Ministry may require the partners or shareholders to dissolve the company or ask the competent court to dissolve it.

So the statement "every registration is deleted automatically after one year" does not give the full rule. Suspension also does not, by itself, mean that all earlier contracts are void or that all claims disappear. Each contractual effect needs to be looked at in light of the contract, the facts and the relevant laws.

Example

A sole proprietorship was registered on 1 March 2025, so its confirmation was due on 1 March 2026, and it could be submitted from 1 February.

The owner did not submit it. After 90 days from the due date (around the end of May) and a 14-day warning, the registration was suspended and its licences with it.

If he submits the confirmation during the year of suspension and pays the fee and fine, the suspension is lifted. If he lets the year pass, the sole proprietorship's registration is deleted. If it were a company, it could not ask for the suspension to be lifted after the year, and the Ministry could seek its dissolution.

Practical solutions for the business owner and those dealing with it

If you own the business:

  • Get the registration status, the due date and the suspension date, if any.
  • Review the details before confirming, and update anything that has changed first.
  • If the registration is suspended, submit the confirmation and the request to lift the suspension during the year of suspension. Do not wait until the end of it.
  • If a suspension decision was issued even though you submitted the confirmation on time, keep proof of completion and payment, and challenge the decision before the competent court within 30 days of notification (Article 25).
  • Update the registered mobile number and email, because notices sent to them take legal effect (Article 20 of the Regulations).

If you deal with a business whose registration is suspended:

  • Check the registration status before paying or delivering.
  • Ask for a written statement of the plan and date for lifting the suspension.
  • Consider the effect of the suspension on the other party's licences and its ability to perform the contract. Suspension alone does not cancel earlier contracts.
  • Agree on guarantees or a revised performance schedule if needed.
